India's capital markets are poised for significant transformation, with SEBI Chairman Tuhin Kanta Pandey identifying a robust equity market capitalization of approximately ₹470 lakh crore and over 15 crore unique investors. Speaking at the 16th ANMI International Capital Market Convention in Mumbai, Pandey underscored India's economic resilience, citing the International Monetary Fund's (IMF) projection of a steady 7% growth, more than double the global average.
The Rural Frontier: Expanding Market Depth
Pandey emphasized that despite high awareness (nearly two in three households) of securities market products, fewer than one in ten actively invest. With close to half of prospective investors residing in rural India, he asserted that the upcoming major wave in retail broking will originate from these smaller towns and villages. To foster greater market depth beyond equities, SEBI is actively working to broaden product choices, particularly addressing the thinness of corporate bond markets.
The regulator is reviewing frameworks for short selling and securities lending and borrowing (SLB) to enhance price discovery and liquidity. Furthermore, a dedicated market-making framework is being developed to stimulate secondary trading in corporate bonds. Under the forthcoming Demat 2.0 phase, tokenized corporate bonds will be introduced to the secondary market, aiming to boost liquidity, reduce settlement risk, and provide faster access to funds.
Building Investor Trust and Combating Fraud
Trust remains paramount for sustained market growth. Pandey urged brokers to rethink Know Your Customer (KYC) beyond a mere formality, redefining it as "Know Your Client's Needs." This approach encourages an ongoing dialogue about client risk profiles, fostering informed investment decisions. "A client who understands risk invests wisely and stays invested longer. That is good for the client, for you and for the market," Pandey remarked.
To safeguard investors, SEBI is implementing stringent enforcement measures against unregistered advisors, misleading 'finfluencers,' and fraudsters misusing broker identities. These efforts are bolstered by verified labels, SEBI Check tools, and validated UPI handles. Complementing these initiatives is the widespread public awareness campaign, "Samajh Se Investing Simple," under Project Jagrook, which has already reached over 15 crore views and dispatched nearly 110 crore WhatsApp messages since its launch.
Leveraging Technology and Ensuring Cyber Resilience
While technological integration accelerates algorithmic trading and artificial intelligence adoption, Pandey cautioned that systemic vulnerabilities have also expanded. He stressed that intermediaries must prioritize cybersecurity as a critical business imperative rather than routine IT expenditure, urging them to "Test your systems. Plan for failure."
SEBI's Regulatory Roadmap for the Future
To operationalize its comprehensive agenda, SEBI's regulatory roadmap introduces several structural modifications focused on simpler rules, deeper markets, responsible technology, and wider access:
- Simpler Rules: Reworking depository participant regulations to ease compliance and fortify defenses against fraud. A graded compliance framework for stockbrokers is also under evaluation, factoring in operational scale and technology reliance.
- Responsible Technology: Formulating rules to prevent trading terminal misuse, consolidating inspection portals, and establishing an AI sandbox for secure testing. Guidelines on the responsible use of artificial intelligence are being finalized, incorporating clear accountability, data controls, kill switches, and human oversight.
- Wider Access: Streamlining digital onboarding, simplifying KYC procedures, and reducing paperwork for global investors and Non-Resident Indians (NRIs), while maintaining robust regulatory safeguards.
