Mahindra & Mahindra Sells 51% Stake in Novavayu Aerospace to Embraer

Mahindra & Mahindra (M&M) has informed stock exchanges that Brazilian aerospace manufacturer Embraer SA will acquire a 51% controlling equity stake in Novavayu Aerospace Limited (NAL). The transaction, expected to close by December 1, 2026, will make NAL an associate company of Mahindra Defence Systems Limited.

Indian conglomerate Mahindra & Mahindra (M&M) has announced the sale of a 51% controlling equity stake in its step-down subsidiary, Novavayu Aerospace Limited (NAL), to Brazilian aerospace giant Embraer SA. This strategic move, communicated to stock exchanges on October 10, 2026, will see NAL transition from a wholly-owned subsidiary to an associate company of Mahindra Defence Systems Limited (MDSL).

The investment agreement, which M&M received intimation of on October 9, 2026, outlines that Embraer will acquire the majority stake, fundamentally altering NAL's corporate standing within the Mahindra ecosystem. The companies anticipate completing this transaction on or before December 1, 2026.

Corporate Restructuring and Ownership

The deal involves a specific hierarchy within Mahindra's defense and aerospace division. Mahindra & Mahindra Limited, through its wholly-owned subsidiary Mahindra Advanced Technologies Limited (MATL), maintains full ownership of Mahindra Defence Systems Limited (MDSL). Novavayu Aerospace Limited (NAL) was incorporated on July 29, 2026, as a wholly-owned subsidiary of MDSL. Following Embraer's acquisition, NAL will operate as an associate entity under MDSL.

Financial Details and Market Implications

Due to its recent incorporation in July 2026, Novavayu Aerospace Limited did not contribute any turnover, revenue, income, net worth, or profit to M&M's consolidated financial statements for the fiscal year ending March 31, 2026, nor has it generated revenue or income as of the disclosure date. Under the terms of the agreement, MDSL will receive approximately Rs 5,10,000 for the sale of its 51% equity stake.

Embraer S.A., registered in São Paulo, Brazil, is an independent entity, and this transaction has been confirmed not to fall under the ambit of related-party transactions. The disclosure of this significant corporate action was made to key financial exchanges, including the NSE, BSE Limited, the London Stock Exchange, and the Luxembourg Stock Exchange, ensuring transparency for investors globally.
