JPMorgan Chase Chairman and CEO Jamie Dimon has publicly endorsed N Chandrasekaran's reappointment as chairman of Tata Sons, expressing high regard for his leadership amidst an escalating boardroom dispute.
Dimon stated to The Economic Times, "I think the world of Chandra. I would never want to lose him," emphasizing that both Tata Trusts and the Tata Sons board should share this sentiment. He further commended Chandrasekaran's "exceptional job" in his role.
The controversy stems from the Tata Sons board's approval of a fresh five-year term for Chandrasekaran. However, Tata Trusts chairman Noel Tata reportedly voted against the decision, deeming the reappointment "illegal." Noel Tata's objection is based on claims that Chandrasekaran had previously decided not to seek another term, a decision allegedly accepted by Tata Trusts.
Dimon also highlighted a broader concern, suggesting that if he were part of the government, he would be worried about such internal conflicts potentially deterring foreign investments into the country.
Reports indicate that Tata Trusts is now preparing to legally challenge the board's decision, possibly seeking judicial intervention to maintain the status quo regarding Chandrasekaran's tenure. Noel Tata asserted that the resolution approving the reappointment was "null and void ab initio" and demanded a public correction of the board meeting proceedings.
Tata Trusts maintains that Chandrasekaran's reappointment did not comply with specific provisions in the company's Articles of Association. These provisions allegedly require both Trust nominee directors to be present and vote in favor of a chairman's appointment or reappointment for it to be legally binding.
