Shares of One97 Communications Ltd, the parent company of digital payments giant Paytm, are expected to see significant trading activity today, August 4, 2026. Existing investors Saif Partners and Elevation Capital are looking to sell shares valued at up to Rs 2,002.10 crore through a block deal, according to a term sheet accessed by Business Today.

The transaction involves the sale of up to 1.49 crore Paytm shares, which collectively represent 2.3 percent of the company's total outstanding equity. The floor price for this block deal has been set at Rs 1,339.65 per share. This price reflects a 5 percent discount compared to Monday's closing price of Rs 1,410 apiece.

Key Sellers and Lock-up Period

The primary selling shareholders in this block deal include Saif Partners India IV Limited, Saif III Mauritius Company Limited, and Elevation Capital V Limited. Following the share sale, these selling shareholders, along with their agents, nominees, or affiliates, will be subject to a 60-day lock-up period, restricting further sales of Paytm shares during this time.

Transaction Details

Morgan Stanley India Company Private Ltd is acting as the placement agent for this substantial share offering. The sale will be executed via one or more share sales conducted on the screen-based trading platforms of Indian stock exchanges. Saif Partners India IV Limited previously held 2.32 crore shares, accounting for 3.63 percent of Paytm's outstanding shares, while Saif III Mauritius Company owned 5.47 crore shares, representing 8.55 percent. Elevation Capital V's exact stake was not disclosed in the BSE shareholding pattern as of August 3, 2026.

The allocation of these equity shares to investors will be subject to the headroom available for acquisition as per the investment limits prescribed under applicable Indian laws.
