Max Estates, the real estate arm of Max Group, has announced its strategic entry into Delhi's residential property sector with the acquisition of a significant 84.71-acre land parcel in Najafgarh, West Delhi. The deal, valued at approximately ₹420 crore, represents the company's first major land bank within the Delhi National Capital Territory (NCT).
Strategic Acquisition Details
The transaction, disclosed via a regulatory filing on August 28-29, involves Max Estates acquiring 100% ownership in nine promoter-owned land-holding companies. These entities collectively hold the expansive land in Najafgarh. According to Sahil Vachani, Vice Chairman and Managing Director of Max Estates, this acquisition provides the company with its initial foothold in Delhi, a core NCR market where it previously lacked a presence. He emphasized that the land was secured at a fraction of prevailing land values elsewhere in the region, crucially without any cash outflow from Max Estates' balance sheet.
Non-Cash Share-Swap Deal
Instead of a direct cash payment, the consideration for the acquisition will be discharged entirely through a preferential issue of up to approximately 70 lakh fully paid-up equity shares. These shares, with a face value of ₹10 each, are priced at ₹597.50 per share, bringing the total consideration to about ₹420.2 crore.
Future Development Potential
The newly acquired Max Estates West Delhi land is poised for substantial development. Max Estates anticipates that the 84.71-acre platform will yield approximately 4-6 million sq ft of developable area over multiple phases. The company estimates a gross development value (GDV) of ₹10,000-12,000 crore from this project over the coming years, significantly enhancing its residential pipeline in the National Capital Region. The implied land cost is roughly ₹4.95 crore per acre, estimated to be below 5% of the GDV, which is competitive compared to prevailing market rates for large integrated townships in West Delhi.
The land parcel's location is strategically important, situated at the heart of Delhi's westward urban expansion as outlined in Master Plan 2047. It benefits from strong land-pooling momentum and improving connectivity through infrastructure projects like UER-II, Dwarka, and proximity to IGI Airport.
Expansion and Market Presence
This acquisition complements Max Estates' existing residential projects in Noida and Gurugram, reinforcing its expansion strategy to strengthen its presence across the Delhi residential market. The company noted in its filing that this move supports its multi-year, phase-wise development plans and is crucial for the continuous replenishment of developable land needed to sustain its growth trajectory in presales and pipeline.
Once necessary regulatory approvals are secured, the nine land-owning companies will become wholly owned subsidiaries of Max Estates. This will enable the developer to proceed with planning and approvals for a mixed-use residential township in Najafgarh, with specific launch timelines to be announced after regulatory clearances and master planning are finalized.
