The Cabinet Committee on Economic Affairs (CCEA) has officially approved M/s 10955230 Canada Inc., a subsidiary of Fairfax Financial Holdings Ltd, as the strategic buyer for a majority stake in IDBI Bank Ltd.

This approval paves the way for the acquisition of a combined 60.72% stake in IDBI Bank. This stake comprises 30.48% held by the government and 30.24% currently owned by LIC. The total purchase consideration for this transaction is set at an substantial Rs 52,878.08 crore, with the proceeds to be divided proportionally between the government and LIC.

Post-Acquisition Shareholding Structure

Following the completion of this transaction, LIC will retain a 19% stake in IDBI Bank. Concurrently, the government will hold a residual 15% stake in the bank. Both major shareholders, LIC and the government, have announced their intention to withdraw their nominees from IDBI Bank's board, transitioning to roles as public shareholders.

The Ministry of Finance has also granted authority to the Alternative Mechanism to facilitate the sale of the government's remaining 15% stake in IDBI Bank through the open market, adhering to established procedures. LIC, on its part, will retain the autonomy to manage its residual shareholding in line with its internal policies and regulatory mandates.

Regulatory Compliance and Future Steps

The successful bidder, Fairfax Financial Holdings Ltd's subsidiary, is now required to undergo a 'Fit and Proper' assessment by the Reserve Bank of India (RBI). Furthermore, the buyer must submit a detailed roadmap outlining its compliance with all regulatory conditions prescribed by the central bank. The entire transaction remains contingent upon the fulfillment of these crucial regulatory requirements.
