ICICI Prudential Asset Management Co Ltd (ICICI Prudential AMC) saw its shares decline by nearly 5% in Thursday's trading session. The drop followed an announcement that Prudential PLC, one of the promoters, sold a 2% stake in the asset management company.

Details of the Stake Sale

Prudential PLC offloaded 99.2 lakh shares, representing a 2% stake in ICICI Prudential AMC, through a block deal on the BSE. This significant transaction generated a turnover of approximately Rs 3,100 crore. The sale was executed at a likely discount, ranging from 2% to 7%, compared to Wednesday's closing price. The floor price for the sale was set between Rs 2,998 and Rs 3,158 per share, as per the term sheet reviewed by Business Today.

The primary motivation behind this stake sale was to ensure compliance with India's minimum public shareholding norms. Prior to the sale, the aggregate shareholding of the promoters and promoter group in ICICI Prudential AMC stood at 87.60%. Following the completion of this transaction, their collective stake is expected to reduce to 85.60%, bringing it closer to regulatory requirements.

BofA Securities was responsible for arranging the deal. As of now, the specific buyers involved in the transaction have not been publicly ascertained.

Market Reaction and Analyst Outlook

Following the news, ICICI Prudential AMC's stock fell 4.93% to an intra-day low of Rs 3,064.55 per share. Despite the recent dip, which has seen the stock fall 23% so far in 2026, market sentiment remains largely positive.

ICICI Prudential AMC has affirmed its commitment to complying with all applicable regulations, including those set by the Securities and Exchange Board of India (SEBI), concerning the proposed sale.
