The Maharashtra Charity Commissioner's office has initiated a formal inquiry, demanding a detailed response from Noel Tata, Chairman of Tata Trusts and a trustee of the Navajbai Ratan Tata Trust (NRTT), concerning a controversial 1989 share transfer involving Tata Sons.
The investigation centers on the transfer of 833 Tata Sons shares from the NRTT to the late Naval H Tata on January 18, 1989. The Commissioner's office received a communication from Vijay Singh, a trustee of NRTT and Vice Chairman of Tata Trusts, referencing a legal notice that characterized the transaction as an “unlawful alienation of assets” from a public charitable trust to private individuals.
Allegations of Unlawful Asset Alienation
The regulator's letter, reviewed by The Economic Times, highlights a potential conflict of interest. While Tata Trusts publicly denied the allegations, the denial was reportedly authorized by a direct beneficiary of the share transfer. This raises concerns about the impartiality of the denial, according to the Commissioner.
Noel Tata has been directed to clarify five critical aspects of the 1989 transaction within two weeks, adhering to the principles of natural justice. These include:
- The necessity and justification for the share transfer.
- All supporting documentation related to the transaction.
- Whether the trust received adequate consideration based on an independent valuation for the shares.
- If the transferred shares directly benefited Naval Tata's family.
- Compliance with all applicable laws and regulations at the time of the transfer.
The Charity Commissioner's office stated that Noel Tata's comprehensive response and accompanying documents will be crucial in determining whether to order an independent inquiry under the Maharashtra Public Trusts Act.
Broader Scrutiny on Tata Trusts
This development comes amidst increased scrutiny on charitable trusts within the Tata group. Recently, the state charity commissioner imposed restrictions on the Sir Ratan Tata Trust, preventing it from holding meetings or making significant decisions. That action was pending an inquiry into alleged violations concerning its board composition and adherence to the Maharashtra Public Trusts Act, indicating a broader regulatory focus on the governance of these influential charitable entities.
