Aditya Birla Fashion Acquires 100% Stake in Urbano Brand Owner Imperial Online Services

Aditya Birla Digital Fashion Ventures, a subsidiary of Aditya Birla Fashion and Retail, has fully acquired Imperial Online Services, the company behind the Urbano fashion brand. This move consolidates ABFRL's ownership of the apparel business.

Aditya Birla Digital Fashion Ventures Ltd (ABDFVL), a wholly owned subsidiary of Aditya Birla Fashion and Retail Ltd (ABFRL), has finalized the acquisition of an additional 15.62% equity stake in Imperial Online Services Pvt Ltd. This transaction increases ABDFVL's total holding to 100%, making Imperial Online Services a wholly owned subsidiary of ABDFVL, and consequently a step-down wholly owned subsidiary of ABFRL.

Consolidating the Urbano Brand

Imperial Online Services operates within the fashion, apparel, and accessories sector. The company is responsible for the manufacturing, marketing, and distribution of fashion apparel under the popular Urbano brand, reaching consumers through both online and offline retail channels.

The latest acquisition streamlines ABFRL's control over the Urbano brand's operations and strategic direction, integrating it fully into the larger conglomerate's digital fashion portfolio.

Financial Performance and Transaction Details

Imperial Online Services has demonstrated consistent revenue growth in recent fiscal years. According to regulatory filings, its revenue reached Rs 119.38 crore in FY26, a significant increase from Rs 97.93 crore in FY25 and Rs 66.78 crore in FY24.

The acquisition was completed via a cash consideration, aligning with the terms established in the Share Subscription and Shareholders' Agreement dated July 11, 2022. This agreement outlined pre-defined milestones for ABDFVL to incrementally increase its stake in Imperial through secondary transactions. No regulatory approvals were required for this particular transaction, and the shares were acquired under the agreed-upon terms.

Market Reaction

Following the announcement, shares of Aditya Birla Fashion and Retail Ltd experienced minimal movement in Thursday's trading session. The stock opened at Rs 50.69, slightly above its previous close of Rs 50.51, and traded within a narrow range, touching an intraday high of Rs 50.69 and a low of Rs 50.08.
