New Delhi – Securities and Exchange Board of India (SEBI) Chairman Tuhin Kanta Pandey recently underscored the paramount importance of trust in modern corporate governance. Speaking at the Institute of Directors Annual Directors' Conclave 2026, Pandey asserted that trust remains a company's most vital asset, especially amidst the rapid expansion of India's capital markets.
Pandey urged corporate leaders to evolve their approach from mere regulatory compliance to active stewardship. He highlighted that contemporary corporate enterprises operate within a complex landscape marked by significant challenges, including escalating cyber threats, the transformative impact of artificial intelligence, growing climate risks, and shifting investor expectations.
The Role of Independent Directors and Information Flow
Good governance, according to Pandey, extends beyond simply adhering to rules. He called upon independent directors to actively engage by challenging decisions and posing critical questions to safeguard the interests of public shareholders. He stressed that effective independent judgment is contingent upon receiving clear, contextualized, and timely information from management.
SEBI's Policy Directions for Market Dynamics
To address the evolving market dynamics and enhance regulatory efficiency, the SEBI Chairman outlined several key policy directions:
- Framework Enhancements: SEBI is currently reviewing guidelines for monitoring the utilization of issue proceeds. Plans are also underway to clarify related-party transaction rules, aiming for greater clarity and workability while ensuring robust investor protection.
- Compliance Rationalisation: A new framework is being proposed to eliminate the practice of duplicate fines. This initiative seeks to prevent multi-listed entities from being penalized multiple times by different stock exchanges for identical infractions.
- Technology Risk Oversight: Pandey emphasized that technology risk should be treated as an inherent business risk. He urged company boards to thoroughly evaluate their dependencies on algorithms, AI systems, and overall operational resilience in the face of technological advancements.
- Capacity Building Network: SEBI proposes establishing a continuous learning network for independent directors. This initiative involves partnerships with institutions like NISM, IOD, academic bodies, and industry associations to build capabilities in critical areas such as technology, ESG (Environmental, Social, and Governance), and financial innovation.
Pandey concluded by noting that while regulatory rules and institutional structures provide the essential foundation for governance, its true effectiveness is ultimately tested in the quality of boardroom decision-making. He affirmed that cultivating a governance culture rooted in stewardship and trust will be a lasting source of market resilience and credibility as more households enter public markets and global capital flows into India.
