Government Exercises Green Shoe Option in LIC Stake Sale Amid Strong Institutional Demand

India's government exercised its green shoe option in the Life Insurance Corporation (LIC) Offer for Sale (OFS) after robust institutional investor demand. Retail investors can bid Wednesday with a ₹10 discount to the final price.

Government Greenlights Additional LIC Share Sale

The Indian government has exercised its green shoe option for the Offer for Sale (OFS) in Life Insurance Corporation (LIC), following overwhelming demand from institutional investors. This move allows the government to sell an additional 4% stake beyond the initial 2.5% base offer, aiming to mobilize around ₹31,000 crore from the sale of up to 6.5% stake, or over 82.22 crore shares, in the country's largest insurer.

Retail investors are slated to place their bids on Wednesday, August 5, 2026, and will receive a ₹10 discount per share to the final discovered price. If the final price aligns with the floor price of ₹382, retail investors would effectively acquire shares at ₹372.

Institutional Investors Drive Robust Demand

The institutional portion of the LIC OFS, which concluded on Tuesday, August 4, 2026, saw significant interest, being oversubscribed 3.32 times its base size. DIPAM Secretary Arunish Chawla confirmed the strong participation, stating, "This enthusiastic participation reflects robust investor confidence and the depth of India's capital markets. In view of the exceptional demand, the Government has decided to exercise the green shoe option."

Institutional investors submitted bids totaling nearly ₹36,400 crore, applying for more than 94.45 crore shares at an indicative price of ₹383.84 per share.

Why LIC Shares Saw a Dip

Following the OFS announcement, LIC's shares experienced a decline of 7.86% on Tuesday, closing at ₹391 on the BSE. This downward pressure is attributed primarily to the discounted floor price of ₹382, which was fixed at nearly an 11% discount to LIC's previous closing price, and the substantial volume of shares entering the market. Analysts suggest this is a typical supply-driven reaction during large stake sales and does not indicate a deterioration in LIC's core business fundamentals.

Advancing Public Shareholding Compliance

The current stake sale is crucial for LIC to meet the Securities and Exchange Board of India's (SEBI) minimum public shareholding (MPS) requirement. The government currently holds 96.5% of LIC, with public shareholders holding only 3.5%. If the entire 6.5% stake is subscribed, public shareholding will increase to 10%, aligning LIC with SEBI's mandate well ahead of the May 16, 2027, deadline. This increased public float is expected to improve liquidity and enhance the stock's appeal to a broader range of institutional investors.

LIC's Robust Financial Performance

Despite the short-term market fluctuations related to the OFS, LIC reported healthy financial results for FY26. The insurer's Value of New Business (VNB) grew by 41.6% to ₹14,179 crore, with its VNB margin improving to 21.2%, boosted by a higher contribution from non-participating products. Net profit also rose by 19.3% to ₹57,419 crore, and premium income increased by 9.8% to ₹5.36 lakh crore.

For long-term investors, the OFS presents an opportunity to acquire LIC shares at a discounted price. However, future returns will depend on LIC's ability to sustain profitability, enhance its product mix, strengthen policy persistency, and defend its market share.
