Strategic Fundraising and Enhanced Borrowing Capacity
The company's board has given its nod to increase Aegis Logistics' borrowing limits under Section 180(1)(c) of the Companies Act, 2013, to an aggregate amount of up to Rs 6,000 crore. Concurrently, the board approved a comprehensive plan to raise an equivalent amount, up to Rs 6,000 crore, through various financial instruments.
This substantial fundraising effort may be conducted in one or more tranches, utilizing either Indian rupees or foreign currencies. The proposed securities are broad, encompassing:
- Equity shares
- Bonds
- Foreign Currency Convertible Bonds (FCCBs)
- American Depository Receipts (ADRs)
- Global Depository Receipts (GDRs)
- Debentures
- Non-convertible debt instruments
- Warrants
- Convertible debentures
- Other equity-based instruments
The company has indicated that the fundraising could be executed through various methods, including public issues, preferential issues, private placements, qualified institutional placements (QIPs), or a combination thereof. These offerings may target eligible investors, including qualified institutional buyers, through both domestic and international channels.
Shareholder and Regulatory Approvals Crucial
All aspects of the proposed fundraising and the increase in borrowing limits are contingent upon securing the necessary regulatory and statutory approvals. Crucially, shareholder approval, to be obtained via a special resolution, is also required. Furthermore, the board has authorized the company to create a charge or mortgage over its assets or properties within the newly approved borrowing limit.
Aegis Logistics confirmed that a notice for an Extraordinary General Meeting (EGM), detailing the increase in borrowing limits, the creation of charges or mortgages on assets, and the proposed fundraising, will be submitted to stock exchanges once it has been dispatched to shareholders.
Market Reaction to the Announcement
Despite the strategic financial maneuvers, Aegis Logistics shares experienced a dip of 2.71% on Monday. The stock touched an intraday low of Rs 1,330, a decline from its previous close of Rs 1,367.10. This market reaction suggests that investors are currently weighing the implications of the fundraising plan against broader market sentiment or other company-specific factors.
