Vedanta Resources Clears Loan Liabilities, Frees Up Shares
Vedanta Resources (VRL), the parent company of metals and mining giant Vedanta Ltd, has announced the complete repayment of its outstanding loan facilities. This significant financial move has resulted in the full release of all encumbrances previously held over the equity shares of Vedanta Ltd, effective August 21, 2026.
The announcement, made on August 25, 2026, confirms that VRL has settled all liabilities under the respective facilities agreements. These agreements had previously necessitated VRL and its direct or indirect subsidiaries to maintain control over Vedanta Ltd, ensuring ownership of at least 50.1 percent of its issued equity share capital.
Over $1.7 Billion in Loans Repaid
The loan facilities that have now been fully repaid include significant amounts due in the coming years: $530 million originally maturing in April 2025, $600 million due in June 2025, and another $600 million set for May 2026. The complete repayment of these obligations underscores VRL's commitment to strengthening its financial position and streamlining its corporate structure.
What Were the Encumbrances?
Encumbrances are legal claims or liabilities attached to an asset, in this case, the shares of Vedanta Ltd. These were created over shares held by VRL's direct and indirect subsidiaries, including Twin Star Holdings Ltd (TSHL), Welter Trading Limited, Vedanta Holdings Mauritius Limited (VHML), Vedanta Holdings Mauritius II Limited (“VHMLII”), and Vedanta Netherlands Investments BV. The terms of the facilities agreement imposed a negative lien, restricting these entities from creating further encumbrances on their directly or indirectly held Vedanta shares.
