The founders are expected to jointly divest nearly 38 lakh shares, which represents approximately 0.8% of the company's total stake. This transaction is valued at an estimated Rs 654 crore. Reports indicate that the shares are likely to be executed at a floor price of Rs 1,720 per share, reflecting a discount of about 3.6% compared to the stock's closing price of Rs 1783.40 on Wednesday.
Kotak Securities has been appointed as the designated banker to manage this substantial secondary market deal, which ranks among the larger transactions in the fintech sector recently. Context: Strong Financial Performance and Stock Rally
This stake sale comes on the heels of robust financial results for PB Fintech. In the fourth quarter of fiscal year 2026 (Q4 FY26), the company reported a consolidated net profit of Rs 261 crore, marking an impressive 54% year-on-year growth. Consolidated revenue for the quarter also climbed by 36.7% to Rs 2,061 crore, driven by strong demand across its insurance products and consistent growth in financial services offerings.
Operational performance also saw significant improvements, with Earnings Before Interest and Taxes (EBIT) nearly doubling to Rs 218 crore from Rs 112 crore a year prior. Operating margins improved to 10.6% from 7.4%, showcasing enhanced efficiency and economies of scale. For the full fiscal year 2026, the company's profit after tax surged by 115% year-on-year to Rs 670 crore.
The company's stock has performed exceptionally well, nearly tripling in value with gains of 195% over the past three years. This strong market performance and financial health provide a backdrop for the founders' decision to pare down a small portion of their holdings.
