Persistent Systems Aims for $5 Billion Revenue After Nagarro Acquisition

Persistent Systems CEO Sandeep Kalra details the strategic $1.45 billion acquisition of Germany-based Nagarro. This move aims to expand global footprint, strengthen AI and digital engineering capabilities, and propel the company towards a $5 billion revenue target.

Persistent Systems, a global leader in digital engineering and enterprise modernization, is making its most significant strategic move yet with the proposed $1.45 billion acquisition of Germany-based Nagarro. This landmark deal is set to transform Persistent Systems into India’s seventh-largest IT services firm and significantly advance its ambition to become a $5 billion company.

Sandeep Kalra, CEO and Executive Director of Persistent Systems, addressed concerns from Dalal Street regarding the acquisition's steep premium, the substantial debt required, and potential impacts on growth. Kalra remains confident, asserting that Nagarro is the crucial missing piece in Persistent's global strategy, particularly for expanding its presence in Europe, West Asia, and Japan.

Expanding Global Footprint and Capabilities

Under Kalra's leadership, Persistent has grown from a niche player to a global enterprise with revenues exceeding $1.6 billion, expanding capabilities across digital engineering, cloud, cybersecurity, data and analytics, application modernization, and enterprise AI. The Nagarro acquisition is expected to boost the combined entity's annual revenue to nearly $3 billion.

Kalra explained that while Persistent has achieved strong organic growth, primarily deriving 82% of its revenue from North America, it needed a stronger foothold in Europe. Nagarro's robust digital engineering DNA, AI capabilities, and established presence in Europe, West Asia, and Japan make it an excellent cultural and strategic fit.

Unlocking New Customer Relationships and Verticals

The acquisition brings a substantial expansion of Persistent's customer base. Among the top 200 customers, there is an overlap of only about 10 clients, meaning Persistent gains over 190 new customers, each generating more than $1 million in revenue. This would have taken a decade or two to build organically. Additionally, Nagarro strengthens Persistent’s presence in key industry verticals such as industrials and consumer, and enhances service capabilities in areas like SAP and Adobe.

Addressing Valuation and Growth Concerns

Persistent Systems acquired Nagarro at approximately 9X CY25 EBITDA, with the multiple ranging between 7.8x and 8.7x depending on Nagarro's performance within its guidance. Kalra acknowledged that Nagarro's valuation had come under pressure in European markets compared to typical Indian IT services firms, but emphasized the value of bringing a respected team of technologists into the Persistent family.

Despite Nagarro's recent slower growth compared to Persistent's consistent 3%+ sequential compounded quarterly growth over 24 quarters, Kalra is optimistic. He plans to apply Persistent's expertise in mining customer relationships, increasing wallet share, and scaling strategic accounts to Nagarro's excellent customer base and strong technical capabilities.

Strengthening AI and Digital Engineering

Both companies have made significant investments in AI. Persistent developed an AI-led software development lifecycle platform called SASVA and has strong capabilities with Anthropic, OpenAI, and open-source models, as well as the ability to build custom enterprise AI models. Nagarro also boasts similar capabilities in software development and industry-specific AI solutions.

The combined entity will create a larger platform for continued investment in AI and strengthen partnerships with major technology players like Microsoft, Amazon, Google, Anthropic, OpenAI, Databricks, and Snowflake.

Managing Integration Risks and Future Outlook

Kalra identified integration as the biggest risk in an acquisition of this scale. However, he noted that both companies are founder-led with a strong technology-first DNA and an entrepreneurial mindset, mitigating cultural overlap risks. The acquisition also presents minimal overlap in leadership, customer ownership, and organizational structure, as Persistent's strengths lie in banking, financial services, healthcare, life sciences, and technology, while Nagarro excels in industrials and consumer sectors.

Geographically, Persistent will see its European employee base grow from around 300 to nearly 3,000, and gain established operations in the Middle East, Japan, and the Philippines where its presence was previously small. Kalra stated that the immediate priority is regulatory approvals, transaction completion, integration, and driving growth, with no plans for other major acquisitions in the next two to three years, except for potentially smaller, niche capability-focused deals.
