Representatives led by Noel Tata have initiated talks with the Shapoorji Pallonji (SP) Group to explore a share swap for its significant 18.4% holding in Tata Sons Pvt. Proposed Deal Structures
The primary structure under consideration involves the SP Group receiving equity in various listed Tata companies, such as Tata Power Co., in exchange for part or all of its stake in the unlisted Tata Sons. Additionally, two alternative options are being evaluated:
- A direct buyout of the stake by Tata Sons, potentially financed through credit facilities from international banks.
- An equity sale to an external global investor, offering another pathway for the SP Group to divest its holding.
Discussions have reportedly intensified following Natarajan Chandrasekaran's announcement to step down as Tata Sons chairman, effective February.
Motivations for the Transaction
For the Shapoorji Pallonji Group, a transaction would provide much-needed liquidity to manage substantial debt obligations owed to global private credit investors. These investors include prominent names like Cerberus Capital Management LP, Davidson Kempner Capital Management, and Farallon Capital Management. The group faces a critical payment deadline in July 2028 related to a recent bond issue.
From Tata Sons' perspective, resolving this ownership structure is crucial for addressing regulatory requirements mandated by the Reserve Bank of India (RBI) framework for core investment companies. This move would streamline its corporate governance and compliance.
