Muthoot Fincorp Files for Rs 3,000 Crore IPO with Sebi

Muthoot Fincorp Ltd. has submitted draft papers to Sebi for an initial public offering of equity shares valued at Rs 3,000 crore. Proceeds will primarily boost its Tier-I capital base for future growth and lending needs.

Muthoot Fincorp Ltd., a prominent non-banking financial company (NBFC) and part of the Muthoot Pappachan Group, has officially filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (Sebi). The proposed initial public offering (IPO) consists entirely of a fresh issue of equity shares, aiming to raise Rs 3,000 crore.

According to the DRHP, the primary objective of the fresh issue is to significantly augment the company's Tier-I capital base. These funds are earmarked to meet future capital requirements, including those necessary for onward lending and the broader growth and expansion of its diverse business operations. This includes investing in its digital platform and enhancing its diversified lending portfolio.

Business Overview and Growth Trajectory

Muthoot Fincorp operates as a diversified NBFC, with its flagship business being gold loans. Beyond this core offering, its portfolio extends to include business loans, loans against property, supply chain financing, digital loans, microfinance, and housing loans. The company also provides a range of distribution and other financial services, encompassing insurance, payments, savings, and related products.

The company has demonstrated robust growth, particularly in its gold loan segment. A CRISIL Report cited in the DRHP highlights that Muthoot Fincorp's gold loan assets under management (AUM) expanded at a compound annual growth rate (CAGR) of 59.04 per cent between March 31, 2024, and March 31, 2026. This performance positioned it as the fastest-growing gold loan AUM among its peers during that period.

Muthoot Fincorp also leverages its digital platform, Muthoot FinCorp ONE, which facilitates a seamless digital loan journey for customers across its various products, select offerings from the Muthoot Pappachan Group, and third-party lending solutions.

Financial Performance and Operational Scale

As of March 31, 2026, Muthoot Fincorp boasted an impressive AUM of Rs 73,444.72 crore and operated through an extensive network of 5,610 branches spread across India, showcasing its significant operational footprint.

The company reported strong financial results for the fiscal year 2026, with consolidated revenue from operations reaching Rs 11,203.81 crore, a substantial increase from Rs 8,497.69 crore in FY25. Consolidated profit for FY26 stood at Rs 1,847.62 crore, marking a significant rise from Rs 607.90 crore recorded in the previous fiscal year.

Historical Context and Lead Managers

Muthoot Fincorp's roots trace back 86 years, evolving from a gold loan business co-founded in 1939 as part of the Muthoot Pappachan Group's heritage trading operations, which itself dates back to 1887.

The IPO process is being managed by a consortium of leading financial institutions serving as book-running lead managers. These include Kotak Mahindra Capital Company, Morgan Stanley India Company, JM Financial, and SBI Capital Markets.
