Jefferies Initiates 'Buy' on NSE Shares, Values Market Leader at Premium to BSE

· · 3 min read

Global investment bank Jefferies has initiated coverage on National Stock Exchange (NSE) with a 'Buy' rating, setting a target price of Rs 2,085. The firm values NSE at a premium to BSE, citing its market leadership and structural growth potential.

Global investment bank Jefferies has commenced coverage of the National Stock Exchange of India Ltd (NSE) with a 'Buy' rating, projecting a target price of Rs 2,085 per share. This target implies a potential upside of 17.33% from current levels. Jefferies highlights NSE's dominant position across various market segments, including cash equities, index futures and options (F&O), stock F&O, and clearing and settlement services.

NSE's Strategic Advantages and Valuation

Jefferies' analysis underscores NSE's combination of robust market leadership, inherent structural growth, strategic diversification, and a natural hedge against market volatility. Despite currently trading at an 18% discount to BSE's valuation (34 times estimated FY28 earnings per share), Jefferies believes NSE warrants a premium. Their target price of Rs 2,085 is based on 35 times December 2028 EPS, representing an approximate 15% premium over their fair value for BSE.

Key factors justifying this premium, according to Jefferies, include NSE's greater diversification in revenue streams, higher optionality for future growth, a superior dividend yield, and structurally higher operating margins.

Growth Drivers and Future Opportunities

The investment bank points to several growth avenues for NSE. Revenues from technology infrastructure, which constituted 8% of FY26 revenues, are expected to grow to 11% by FY29 as the exchange expands its colocation rack services. Furthermore, new business initiatives such as commodity F&O, a new mutual fund ordering platform, and Electronic Gold Receipts (EGRs) could collectively boost revenue and profit after tax by an additional 15% by FY30, although these are not part of Jefferies' base case projections.

NSE is also actively exploring opportunities in corporate bond futures, the GIFT City international financial services center, and its Market Lens data analytics platform. These efforts are anticipated to contribute to an expansion of NSE's EBITDA margin by 200 basis points, reaching 78% by FY29, driven by past investments in technology and personnel, improved revenue growth, and the scaling of new ventures.

Market Penetration and Volatility Hedge

India has witnessed a significant fourfold increase in direct equity investors since the COVID-19 pandemic, largely driven by younger demographics. Despite this surge, market penetration remains low at just 3% of the population, compared to 18% in China, indicating substantial room for growth. Jefferies also notes that Indian exchanges offer a unique hedge against volatility, as their options revenue is premium-based and positively correlated with the VIX index, distinguishing them from many global counterparts.

While equity options currently account for 60% of NSE's operating revenues, weekly index options, which have faced some regulatory scrutiny, represent 40% of this share. Jefferies anticipates the equity options share in transaction revenues may decrease to 50% over the next five years, mitigating risks from potential regulatory actions aimed at protecting small traders.
