ITC Infotech India Ltd and Happiest Minds Technologies Ltd have announced a definitive agreement to merge their businesses, targeting a combined annual revenue of $1 billion by fiscal year 2028. This strategic consolidation is set to create a significant technology services company, boasting over 19,000 employees and serving more than 800 customers across 30 countries.
Key Details of the Merger Transaction
As part of the transaction, ITC Infotech will acquire an aggregate minority stake of approximately 22.1 percent in Happiest Minds. This stake will be purchased from Happiest Minds' promoter and promoter entities in two tranches for a total consideration of Rs 1,330 crore, at an average price of about Rs 395 per share. ITC Ltd, the parent company, will serve as the promoter of the merged entity, holding approximately 73.4 percent of the combined company.
The merger itself will be structured through a share swap arrangement. Happiest Minds shareholders are slated to receive 25 shares of ITC Infotech for every 81 shares they currently hold. The combined company is expected to be listed on relevant stock exchanges following the completion of the merger process.

The newly formed entity aims to combine Happiest Minds' robust capabilities in artificial intelligence (AI), digital engineering, cloud services, data analytics, and cybersecurity with ITC Infotech's established expertise in enterprise transformation, SAP, Product Lifecycle Management (PLM), and Industry 4.0 solutions. This integration is designed to offer a comprehensive suite of technology services and accelerate growth in high-demand industry segments.
Sanjiv Puri, Chairman of ITC Limited and ITC Infotech, emphasized that the merger of these complementary strengths and deep domain expertise will significantly enhance the combined entity's capacity to deliver cutting-edge solutions globally. Approvals and Timeline
The completion of this merger is contingent upon customary statutory, shareholder, and regulatory approvals. These include clearances from the Competition Commission of India, relevant stock exchanges, and the National Company Law Tribunal. The companies anticipate that the entire transaction will be finalized over the next 15 months. Until all necessary approvals are secured, both ITC Infotech and Happiest Minds will continue to operate independently.
