Under the terms of the voluntary totalitarian tender offer, TML CV Holdings B.V., an indirect wholly-owned subsidiary linked to Tata Motors’ commercial vehicles business, will acquire all common shares of Iveco Group N.V. The offer price is set at €14.10 per share on a cum-dividend basis, valuing the entire transaction at approximately €3.8 billion. This equates to roughly $4.4 billion or ₹41,580.67 crore.
The acceptance window for Iveco shareholders is scheduled to open at 8:30 a.m. CET on September 7, 2026, and will close at 5:30 p.m. CET on October 26, 2026, unless extended. Settlement and payment to accepting shareholders are slated for October 30, 2026. Should legal prerequisites allow, the acceptance window may reopen for an additional five trading days between November 2 and November 6, 2026, with corresponding payments scheduled for November 13, 2026. The tender offer will be extended to investors in the United States, adhering to applicable U.S. securities regulations.
