GRT Jewellers to Acquire Majority Stake in TBZ for ₹1,033 Crore, Expanding Pan-India Retail

GRT Jewellers has signed an agreement to acquire a 74.12% stake in Tribhovandas Bhimji Zaveri (TBZ) for up to ₹1,033.71 crore. This strategic move aims to significantly expand GRT's retail presence across India and marks its entry into the listed jewellery market.

GRT Jewellers to Acquire Majority Stake in TBZ

Chennai-based GRT Jewellers India (GRT) has announced a significant acquisition, agreeing to purchase a 74.12% stake in Tribhovandas Bhimji Zaveri Ltd (TBZ), also known as TBZ The Original, for a sum of up to ₹1,033.71 crore. The deal, which remains subject to various regulatory approvals and customary closing conditions, is set to redefine GRT's market presence.

This strategic move is aligned with GRT Jewellers' ambitious plan to expand its retail footprint across India and marks its first foray into the listed jewellery retail business. Following the completion of this acquisition, GRT is slated to launch an open offer for approximately 26% of TBZ’s equity, in accordance with Securities and Exchange Board of India (SEBI) regulations.

G.R. ‘Ananth’ Ananthapadmanabhan, Managing Director of GRT Jewellers, stated that the acquisition perfectly fits the company's objective to broaden its market presence through TBZ's established network. Echoing this sentiment, G.R. Radhakrishnan, also a Managing Director at GRT, described the transaction as “truly transformative,” highlighting that the company’s long-held aspiration for a meaningful pan-India presence is now becoming a reality.

R. Vijayaraghavan, Executive Director and CEO of GRT Jewellers, who spearheaded the acquisition, emphasized that the combined management expertise of GRT and TBZ’s senior executives will focus on multiple growth drivers to propel the jewellery brand into its next phase of expansion.

TBZ contributes its rich heritage, strong customer relationships, and diverse merchandise portfolio, while GRT brings robust retail capabilities and a growth-oriented business approach. GRT Jewellers, founded in 1964 by G. Rajendran, has grown into a significant player in the Indian jewellery market. The company currently operates 68 stores across India and one in Singapore, employing over 12,000 individuals. With approximately 650,000 sq ft of retail space and a customer base exceeding 15 million, GRT offers a wide portfolio including gold, silver, diamond, and platinum jewellery, alongside sub-brands like Oriana and Silvana.

Tribhovandas Bhimji Zaveri (TBZ) boasts an even longer legacy, tracing its origins back to 1864 when Bhimji Zaveri established its first store in Mumbai’s Zaveri Bazaar. Over its extensive history, the company has expanded its presence to 37 locations across India, establishing itself as a respected name in the jewellery sector.
