Defence technology firm Apollo Micro Systems has agreed to acquire a 41.33% promoter stake in Premier Explosives Ltd for approximately Rs 1,550 crore in an all-cash deal. This strategic move aims to bolster India's defence manufacturing capabilities.

Apollo Micro Systems, a prominent player in defence technology, has announced a definitive share purchase agreement to acquire a 41.33% promoter stake in Premier Explosives Ltd. The all-cash deal is valued at approximately Rs 1,550 crore.

Strategic Rationale Behind the Acquisition

Premier Explosives Limited specializes in high energy materials, rocket motors for defence and aerospace applications, countermeasures, and munitions. This acquisition is poised to combine complementary capabilities in defence systems and energetic materials, promising enhanced operational efficiencies and expanded research and development opportunities.

Baddam Karunakar Reddy, Managing Director of Apollo Micro Systems Ltd, emphasized the national significance of the deal. “This acquisition strengthens our nation's defence manufacturing capability and deepens our sovereign expertise in energetic materials and space programmes,” Reddy stated. “Together, we are better positioned to safeguard national security interests and support our armed forces with greater scale, resilience, and technological self-reliance.”

Market Reaction and Future Outlook

Prior to the announcement, shares of Apollo Micro Systems closed 1.33% higher at Rs 398.60, with the firm's market capitalization standing at Rs 14,242 crore. Premier Explosives stock also saw a positive movement, ending 4% higher at Rs 714.75, with a market cap of Rs 3,842 crore.

The transaction is anticipated to conclude in the Third Quarter or by December 2026. This timeline is subject to customary closing conditions, including various regulatory and shareholder approvals. Following the completion of the acquisition, Premier Explosives Ltd will operate under the umbrella of Apollo Micro Systems but will continue to function under its existing brand, aiming for scaled performance within the new structure.
