Ananya Birla's Svatantra Microfin Files DRHP for Rs 3,000 Crore IPO

Svatantra Microfin, led by Ananya Birla, has filed its Draft Red Herring Prospectus (DRHP) with SEBI to raise Rs 3,000 crore through an initial public offering. The IPO includes a fresh issue and an offer for sale.

Svatantra Microfin, the microfinance institution chaired by Ananya Birla, has submitted its Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) for an initial public offering (IPO) aiming to raise Rs 3,000 crore.

The proposed IPO comprises a fresh issue of equity shares worth Rs 1,500 crore and an offer for sale (OFS) of Rs 1,500 crore by existing investors, including Multiples Private Equity Funds and Violicina Limited. Additionally, the company is considering a pre-IPO placement of up to Rs 300 crore, which would reduce the fresh issue size proportionally if completed.

Utilizing IPO Proceeds for Growth

The net proceeds from the fresh issue component are earmarked to bolster Svatantra Microfin's Tier-I capital base. This capital injection is crucial for meeting future funding requirements, supporting business expansion, and facilitating onward lending activities, thereby strengthening the company's financial position and growth trajectory.

Ananya Birla, along with her firm Antimatter Media, holds a significant 59.97% stake in Svatantra Microfin. Other key shareholders include Violicina with 28.02% and Multiples Alternate Asset Management, holding 11.45% through various schemes.

Svatantra Microfin's Market Position and Expansion

Established as the first institution to receive the NBFC-MFI license from the Reserve Bank of India in 2011, Svatantra Microfin has demonstrated substantial growth. Its microfinance assets under management (AUM) expanded at a compound annual growth rate (CAGR) of 21% from Rs 14,438 crore as of March 31, 2024, to Rs 21,093 crore by March 31, 2026. Over the same period, its share of India's total microfinance AUM nearly doubled, rising from 3.26% to 6.37%.

As of March 31, 2026, Svatantra Microfin was the largest NBFC-MFI in Bihar and Uttar Pradesh by AUM. The company maintains a diversified loan portfolio, ensuring no single district or state accounts for an excessive concentration of its AUM. Asset quality has also seen improvement, with the gross Stage-3 ratio declining from 2.24% in fiscal 2025 to 1.19% in fiscal 2026.

The company further solidified its pan-India presence through the amalgamation of Chaitanya India Fin Credit, which became effective on March 21, 2026. This merger significantly extended Svatantra Microfin's reach into southern India.

Currently, Svatantra Microfin operates 2,123 branches across 20 states and 394 districts. It is supported by a workforce of 24,594 employees, including 15,575 field officers, serving 42.66 lakh active borrowers in its microfinance segment.

The book-running lead managers for the IPO include Axis Capital, Avendus Capital, IIFL Capital Services, Kotak Mahindra Capital Company, and SBI Capital Markets.
